QuestionsWhy is a corporation referred to as an “artificial person” under the law? What are the consequences of this concept?
A corporation is considered an artificial person because it enjoys the same privileges as an individual. It can sue or be sued, to enter into a contract and also borrow loans. Also, a corporation is separate from its owners (Showalter, 2012). It is for this reason that the corporation is referred to as an artificial person. This concept implies that a company can have the same rights and responsibility as provided by the constitution to individuals.
Advantages of incorporation as opposed to the organization as a partnership
An incorporated company is separate from the owners hence the owner does not carry the burden of liabilities as is the case in partnerships. Therefore, the owner can protect his or her assets since they are separate from those of the company. Also, it is easier for the company to access capital. This is because they can sell an IP or issue shares. This is not possible in the case of a partnership. For a partnership, the owners have to contribute all the capital.
Where does one look to find the powers of a corporation?
To find the powers of a corporation, one looks to the directors. It is the directors who hold or other determine the power of a corporation.
Why has the defense of independent contractor status declined in importance in recent years?
The reason as to why the independent contractor status has experienced a significant decline in the recent years since most of the physicians are now working at hospitals where they practice medicine (Showalter, 2012).
